TrialConnx Terms

1. Service Level Terms

The Services will be available 99.9% of the time, measured monthly, excluding holidays, weekends, and scheduled maintenance. This is referred to as “Availability.” If a customer requests maintenance during these excluded times, the Availability calculation will not include any periods affected by the requested maintenance. TrialConnx will inform the Customer of any scheduled maintenance through email or a notification within the Service. Any downtime caused by factors outside of TrialConnx’s control, including Force Majeure Events, will also be excluded from Availability calculations.

If the Availability requirement is not met, referred to as “Downtime,” the Customer’s sole and exclusive remedy, and TrialConnx’s entire liability, is to provide a 5% credit of the Subscription Fees for each period of 30 or more consecutive minutes of Downtime, provided that (1) the Downtime lasts longer than one hour, and (2) only one credit will be given per day. Downtime begins accruing as soon as the Customer recognizes it and continues until the Services are restored. To receive credit, the Customer must notify TrialConnx in writing within 72 hours of the Downtime, or they will lose the right to receive credit. The credit cannot be redeemed for cash. The total credits applied cannot exceed one week of Subscription Fees in any given month. TrialConnx will apply the credit only to the month in which the Downtime occurred.


2. Content & Use Policy

We created this Content and Use Policy (the “Policy”) to provide additional clarification on activity and content which is prohibited and/or subject to additional restrictions on the platform. The platform fosters a collaborative and organized environment. To uphold a safe and positive user experience, we strictly prohibit specific activities and content. 

All terms used in this Policy but not defined shall have the meaning given to them in the Master Services Agreement. This Policy is incorporated into the terms applicable to your Subscription. 2.1 The following activities are prohibited:

  • Illegal Activities: Participating in or promoting any actions that violate the law.
  • Harmful Content: Sharing material that is graphically violent, sexually explicit, or otherwise detrimental to the well-being of others.
  • Child Exploitation: Engaging in any form of exploitation, abuse, or endangerment of children.
    Harassment and Bullying: Harassing, bullying, or threatening other users.
  • Hate Speech and Discrimination: Promoting hate speech or discrimination against individuals or groups based on their race, ethnicity, religion, gender, sexual orientation, or any other protected characteristic.
  • Intellectual Property Infringement: Violating the intellectual property rights of others, including copyright, trademark, and patent rights.
  • Malware and Deception: Spreading malware or engaging in deceptive practices such as phishing, scams, or fraud.
  • Privacy Violations: Violating the privacy rights of others, including collecting, using, or disclosing personal information without consent.
  • Platform Disruption: Disrupting the platform’s functionality or interfering with the ability of other users to access and use the platform.
  • Unauthorized Access: Hacking or gaining unauthorized access to the platform, user accounts, or data.
  • Spam and Unsolicited Messages: Sending spam or unsolicited messages to other users.
  • Additional Scrutiny: Certain industries may be subject to heightened scrutiny due to their potential for abuse. These include:
    • Work-at-Home Schemes: Schemes that promise unrealistic earnings or require upfront payments for participation.
    • Gambling: Online gambling or promotion of gambling activities.
    • Adult Entertainment: The production, distribution, or promotion of sexually explicit content.
    • Sales of Emergency Goods: The sale of goods that are essential during emergencies, such as food, water, or medical supplies, at inflated prices.
    • Online Trading: The buying and selling of financial instruments online, particularly those that involve high risk or complexity.
 

2.2 Monitoring and Enforcement

While the platform is not obligated to monitor user activity, it reserves the right to investigate and take action against users who violate these terms. This may include issuing warnings, suspending or terminating accounts, and reporting illegal activity to the appropriate authorities.

 

2.3 User Responsibility

Users are responsible for their own conduct on the platform and for ensuring that their use of the platform complies with these terms. By using the platform, users agree to abide by these terms and to cooperate with any investigations into potential violations.
